These Terms and Conditions govern your access and use of The Right Vendor platform (“Platform”), including our website, applications, and related services. By registering an account or using our services, you agree to comply with these terms. Our platform provides procurement, supply chain management, and vendor order management solutions to registered businesses and suppliers.

1. Account Registration & Use

To use The Right Vendor platform, you must create a registered account providing accurate and complete information. Each account is intended for use by a single business entity. You are responsible for maintaining the confidentiality of your account credentials and any activity that occurs under your account.

You agree not to share your login details or allow unauthorized access to your account. The Right Vendor reserves the right to suspend or terminate accounts found in violation of our terms, fraudulent activity, or misuse of the platform.

2. Vendor and Supplier Listings

Vendors and suppliers listed on The Right Vendor platform provide their own products, services, and pricing. The Right Vendor does not assume responsibility for the quality, availability, or compliance of vendor offerings. Users must perform due diligence before entering into agreements or placing orders.

Any disputes, claims, or communications between buyers and vendors are the responsibility of the respective parties. The Right Vendor provides tools to facilitate procurement and supply chain management but is not a party to contractual agreements between vendors and buyers.

3. Procurement & Order Management

The Platform allows users to create, manage, and track procurement orders. Users must ensure that all order details, including quantities, pricing, and specifications, are accurate. The Right Vendor is not liable for errors, omissions, or delays in vendor order fulfillment.

Payments and financial transactions are handled between buyers and vendors. The Right Vendor may provide integration tools, but does not directly process payments or assume liability for transaction disputes.

4. Data & Confidentiality

Users may share sensitive business information, pricing details, and other proprietary data on the platform. All users are expected to maintain confidentiality of this information and use it only for legitimate business purposes.

The Right Vendor employs industry-standard security measures to protect user data. However, we do not guarantee complete protection against unauthorized access, breaches, or third-party interference.

5. Intellectual Property

All content, software, logos, and intellectual property on The Right Vendor platform are owned by The Right Vendor or its licensors. Users may not copy, distribute, or use content for commercial purposes without prior written consent.

6. No Warranties

The Right Vendor provides its platform “as is” and makes no warranties regarding availability, accuracy, reliability, or suitability for specific business purposes. Users accept and use the platform at their own risk.

7. Limitation of Liability

The Right Vendor shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the platform, including errors in procurement, vendor delays, or financial losses. Users agree to indemnify and hold harmless The Right Vendor from any claims arising from their use of the platform.

8. Termination

The Right Vendor may suspend or terminate access to the platform at any time, with or without cause, including violations of these terms. Users may also terminate their account by providing written notice, subject to completion of pending orders and obligations.

9. Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes arising from the use of the platform will be subject to the jurisdiction of the courts in Chandigarh, India.

10. Changes to Terms

The Right Vendor may update these Terms and Conditions from time to time. Users will be notified of significant changes, and continued use of the platform constitutes acceptance of the updated terms.
